The Assistant General Counsel, M&A is responsible for providing legal support and leadership for M&A transactions, joint ventures and other strategic investments and transactions. This position is responsible for supporting all aspects of M&A transactions from NDA and LOI through closing. The Assistant General Counsel serves as a critical point of contact for cross-functional leaders involved in due diligence, M&A planning and execution. This position reports to the VP, Legal (M&A).Responsibilities:Provide legal counsel to business leaders on global mergers, acquisitions and divestitures and other strategic investments.Draft and negotiate transaction-related documents including letters of intent, purchase and sale agreements, transition service agreements and ancillary agreements.Manage the legal due diligence process, including engagement with cross-functional internal stakeholders and external counsel to identify, evaluate and mitigate legal risks.Manage deal timing, scheduling and coordination, in partnership with Corporate Development team members.Conduct legal research and communicate findings clearly and concisely to senior business and legal leaders.Build strong relationships and effectively collaborate with business colleagues, in-house attorneys and outside counsel.Apply a broad business perspective to legal analysis and devise solutions that meet client needs.As workflow demands, provide support to the Office of Corporate Secretary in connection with various corporate and governance matters.Anticipate legal issues, resolve sensitive legal projects and handle difficult situations diplomatically.Experience and Skills:Law degree and membership in good standing of any state bar (Georgia preferred).Practicing attorney with at least 5 years of relevant legal experience handling M&A transactions of varying types, sizes and complexities at a top-tier law firm or a combination of law-firm and in-house experience.Demonstrated business counseling, communications, conflict management and negotiation skills.Experience structuring, negotiating and documenting venture capital and minority equity investments.General corporate, governance and transactional experience.Ability to navigate and excel in a matrix environment.Strong influencing, relationship management and collaboration skills.Ability to manage competing priorities in a fast-paced, demanding environment, and ability to exercise sound judgment while working autonomously.Ability to see the big picture while executing on the appropriate details.Exemplary verbal and written communication and presentation skills.Occasional, work-related travelSpanish language skills preferred, but notrequiredPrimary Location:USA-Atlanta CorporateFunction:Function - LegalSchedule:Full timeEqual Opportunity Employer-minorities/females/veterans/individuals with disabilities/sexual orientation/gender identity
